TERMS & CONDITIONS
Scope: These Terms & Conditions are displayed to users and must be accepted before registering for and using mPass. Acceptance may be collected via Moneta’s partners.
Introduction
- Before creating or using an mPass account, please read these Terms carefully to understand your legal rights and obligations with respect to Moneta Network and its affiliates and subsidiaries (collectively, “Moneta”, “we”, “us”, or “our”).
- Our services include information, guidance, features, data, text, images, graphics, and any related services intended to connect buyers and sellers of products and services. Moneta does not own any goods or services offered or provided to buyers.
- Before becoming a user of our services, you must read and accept all terms and conditions set forth in (and incorporated by reference into) these Terms, as well as Moneta’s rules, policies, community standards, and the Privacy Policy.
- Moneta may change, modify, suspend, or discontinue all or any part of the services at any time in accordance with applicable law. Trial versions of the services or features may differ from final versions.
- Moneta may refuse requests to open an mPass account or deny access to the services as permitted by law and these Terms.
- By using the services or creating an mPass account, you accept and agree to these Terms and the additional policies referenced herein.
- If you do not agree to these Terms, please do not use the services.
User responsibilities
- You may use your account to access other products, websites, or services that Moneta permits or that are connected to or partnered with Moneta. Moneta does not review and is not responsible for their content, features, security, services, privacy policies, or practices. When you access such products, websites, or services, their terms and policies (including privacy policies) apply, even if they differ from Moneta’s Terms and/or Privacy Policy.
- You agree to (a) keep your password confidential and use your login credentials only to sign in, (b) manage sign-in sessions on seller websites and/or on the devices you use, and (c) promptly notify the account provider if you discover any unauthorized use of your account, login name, and/or password. You are responsible for all activity under your account, including any loss or damage arising from unauthorized use or failure to comply with these Terms.
- You agree that Moneta may suspend services for any reason, with or without notice, and without liability to users or third parties where permitted by law. Grounds may include (a) violating the letter or spirit of these Terms and Moneta’s rules/policies/standards, (b) illegal, fraudulent, harassing, infringing, threatening, or abusive conduct, (c) bulk purchases from a seller or related seller group, (d) abuse of discounts, sponsorships, or promotional benefits (including resale of discount codes or misuse of codes provided by Moneta or sellers), (e) harming other users, third parties, or Moneta’s economic interests, (f) using false or dishonest information or automated tools to register accounts, and (g) buying, selling, renting, lending, or registering accounts on behalf of others. Illegal, fraudulent, or abusive use may be reported to competent authorities in accordance with law.
- You may request deletion of your account by submitting a request to the mPass account provider. However, you remain responsible for any incomplete transactions (arising before or after the account is deleted) and for the provision of any seller products/services associated with the account requested for deletion.
Claims and compensation
- If issues arise relating to a transaction, the seller and buyer agree to first discuss with each other in good faith to resolve the dispute. If the issue cannot be resolved by discussion, the buyer may submit a complaint to the relevant local competent authority to resolve the dispute.
- Each seller and buyer agrees not to initiate proceedings or otherwise bring claims against Moneta or its affiliates (except where Moneta or its affiliates are the seller of the products related to the claim) regarding any transaction or dispute related to such transaction.
Reporting IP infringement
- Users are independent individuals or organizations and have no relationship with Moneta in any form. Moneta is not an agent or representative of users and does not hold or own any goods offered on seller websites or seller applications.
- If you are an intellectual property rights owner or an authorized representative and you believe your IP rights (or those you represent) are being infringed, please provide Moneta with supporting documentation for your request. Please allow us time to process the information provided. Moneta will respond as soon as reasonably possible.
- Moneta acknowledges that sellers or manufacturers may, in accordance with applicable law, enter into certain exclusive distribution agreements or minimum price agreements with third parties. Breach of such agreements does not constitute IP infringement. Enforcement of such agreements is a matter between the seller/manufacturer and the relevant third party; Moneta will not assist in enforcing exclusive distribution rights or price controls unless required by law.
- Sellers agree to indemnify and hold Moneta and its affiliates harmless from any and all claims, complaints, losses, and judgments arising from or related to (a) any IP infringement claims related to content or listed products/services, and/or (b) any removal of content or listings related to IP claims.
Purchases and payment
From time to time, Moneta supports one or more payment methods, such as:
- Credit/Debit Cards: Card payments are processed through third-party payment channels, and accepted card types depend on the payment channel you use.
- Domestic ATM / Internet Banking: Available for buyers with domestic ATM cards enabled for Internet banking (online payments).
- E-wallets: E-wallet payments are processed via third-party payment channels, and accepted e-wallets depend on the payment channel you use.
- Bank Transfer: Allows buyers to pay via online banking services (Internet banking).
- Other methods: Other available payment methods accepted by sellers from time to time.
- Buyers may change payment methods only before completing payment.
- Moneta is not responsible or liable for any loss or damage suffered by buyers or sellers arising from incorrect recipient and/or payment information for an order and/or use of payment methods not listed above. Moneta reserves the right to verify the legality/eligibility of a buyer’s payment method and may suspend transactions until verification is completed, or cancel related transactions if verification cannot be completed.
Complaints and refunds
- Complaint timeframes are subject to Moneta’s rules from time to time. Moneta may change complaint/refund timeframes without prior notice or the parties’ consent. You may choose not to transact if you do not agree with the complaint/refund rules in these Terms.
- Successfully completed orders cannot be cancelled or refunded.
- Successful transactions cannot be disputed after 3 days from the date the transaction is completed.
Disclaimer of liability
- Moneta is not liable (whether in contract, warranty, tort, product/service liability, legal liability, or otherwise) for:
- Loss of use, profits, revenue, data, goodwill, or failure to take emergency measures (directly or indirectly); or
- Any indirect, incidental, special, or consequential damages (including data loss, service interruption, computer/phone issues or other mobile device issues) arising from or related to use of seller websites/applications.
- You may request termination of your account and/or stop using the services if you are not satisfied.
Severability
If any provision of these Terms is unlawful, void, or unenforceable for any reason, that provision will be severed and will not affect the validity or enforceability of the remaining provisions.
Governing law
These Terms are governed by and construed in accordance with the laws of Vietnam. Any dispute, controversy, claim, or disagreement arising from or related to these Terms against or involving Moneta or any indemnified party will be resolved by the Vietnam International Arbitration Centre (VIAC). The arbitration language is Vietnamese.
General provisions
- Moneta may amend these Terms at any time by posting updated Terms on monetanetwork.com or by notifying users via Moneta’s partners when providing services or supporting mPass registration. Your continued use of mPass after changes are posted constitutes your acceptance of the updated Terms. If you do not agree, please stop using the services and stop accessing seller websites/apps using your mPass account.
- Users may not assign, sublicense, or transfer any rights or obligations granted under these Terms.
- Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and Moneta.
- If Moneta fails to enforce any provision at any time, it will not be deemed a waiver of its right to enforce that provision later, unless waived in writing.
- These Terms and any agreements/policies incorporated or referenced herein constitute the entire agreement between the parties regarding the services and replace any prior agreements or understandings. The parties do not rely on any statements, assurances, warranties, understandings, commitments, promises, or representations except those expressly set out in these Terms.
- You agree to comply with all applicable laws relating to anti-corruption and anti-bribery.
